Disclosure policy

Criteria for disclosure

We disclose information promptly on the basis of transparency, fairness and continuity, in accordance with the Financial Instruments and Exchange Act and other laws, and with the timely disclosure rules for corporate information set out in the Securities Listing Regulations of the Tokyo Stock Exchange. Where information does not fall under those laws or rules, we still disclose it actively and fairly whenever we judge it important or useful in helping shareholders and investors understand the company. We do not disclose personal information, customer information, or information that would infringe the rights of those concerned.

Means of disclosure

Information covered by the timely disclosure rules is disclosed through the Tokyo Stock Exchange’s Timely Disclosure network (TDnet) in accordance with those rules, and is published on our own website promptly after release through that system. Information not covered by the rules is also disclosed widely, through our website and other means, whenever we judge it important or useful.

Preventing insider trading

We have established internal regulations to prevent insider trading. Each year we hold sessions on insider trading regulation for directors and employees and distribute explanatory material, working to make the purpose of the rules widely understood, and we issue internal notices drawing attention to insider trading as appropriate.

Forecasts and forward-looking information

Among the forecasts, outlooks, strategies and targets we disclose, anything other than statements of past or present fact is forward-looking. Such statements rest on plans, expectations and judgements based on information available to us at the time and on assumptions we consider reasonable. Actual results may therefore differ from the forecasts disclosed, owing to economic conditions and other uncertainties.

Quiet period

To prevent the leak of results information and to keep disclosure fair, we observe a quiet period from the day after each financial period end until the announcement of those results. During that period we refrain from answering questions or commenting on results and forecasts. Should a significant change in the forecast become likely during the period, we will publish it as appropriate in accordance with the timely disclosure rules.

Internal arrangements

In line with this disclosure policy, we work to establish and strengthen the internal arrangements needed to disclose information properly in accordance with the relevant laws and the timely disclosure rules.
